Revocation of Siquijor Island Power Corp’s permit to operate
We confirm that on 28 August 2025, the Energy Regulatory Commission (ERC) has issued a Decision revoking the Provisional Authorities to Operate (PAO) it previously granted to Siquijor Island Power Corporation (SIPCOR). We understand that the Decision is not yet final, as it is still subject to appeal. As likewise mentioned by SIPCOR in its letter to PREIT, it intends to avail of remedies under law to appeal the ERC Decision, including the filing of a motion for reconsideration. As further explained by SIPCOR in its letter to PREIT, the continued operation of units and deployment of rental gensets identified in the ERC Decision were undertaken in good faith to address urgent power requirements during periods of unusually high demand, peak summer months, and the growing electricity demand in Siquijor, with the primary objective of protecting consumers from extended brownouts. With respect to compliance obligations under the Power Supply Agreement, EPIRA, and ERC reporting requirements, SIPCOR noted that it has submitted pending requirements, and at no point was there any intent to disregard regulations.
Impact on the Company’s distributable income and dividends
Despite the ERC’s Decision to revoke the Provisional Authorities to Operate it earlier granted to SIPCOR, the distributable income of PREIT is not expected to be materially affected. This is because PREIT continues to receive guaranteed lease payments from SIPCOR under its lease agreement, regardless of SIPCOR’s operational status. Consequently, the dividends declared by PREIT are likewise not expected to be significantly impacted.
