Subject of the Disclosure
ISLAND DATA CENTERS, INC (IDC), a 50% owned subsidiary of ISLAND INFORMATION & TECHNOLOGY, iNC. (IITI) has entered into a Strategic Partnership Agreement on November 10, 2025 with AIC Management Consultant Co., Ltd.
Background/Description of the Disclosure
IDC, a developer in the data center industry with expertise in regulatory, investment, facility management and strategic land site access in the Philippines has partnered with AIC, a firm specializing in management consulting, architectural services, structural design, MEP design, project design and development management for large scale commercial and industrial projects to jointly market, bid on and deliver covered services for data center Projects. The Covered Projects shall include but are not limited to: (1) Project Design and Feasibility Studies; (2) Development Management and Owner's Representation; (3) MEP (Mechanical, Electrical and Plumbing) System Design and Fulfilment; (4) HVAC (Heating, Ventilation and Air Conditioning) System Design, Planning and Fulfilment) and (5) Strategic Master Planning AIC appointed IDC as its exclusive and sole partner for the regulatory land investment or lease and utilities resourcing for all Projects within the territorial jurisdiction of the Republic of the Philippines. In principle, all commercial terms, including but not limited to fees, pricing, payment schedules and profit-sharing shall be contracted on a per Project basis. AIC's recent data center project in Vietnam was acquired by STT GDC, a Singapore based data center operator and an exclusive partner with Globe in the Philippines. AIC's exclusive partnership with IDC in the Philippines will allow IDC to perform design, engineering and master planning of data center projects in the Philippines with the latest specs required by global data center operators, including hyperscalers and AI data centers. The Agreement shall commence on November 10, 2025 and shall remain in full force and effect for an initial term of three (3) years subject to automatic renewal for successive one (1) year period unless either Party provides written notice of non-renewal at least ninety (90) days prior to the end of then current term.
