Background/Description of the Disclosure
As approved by the Board of Directors of Roxas and Company, Inc. ("RCI") in a Special Meeting held on 24 November 2025, RCI and Ms. Ms. Corazon De La Paz-Bernardo ("Ms. De La Paz-Bernardo") entered in a buy-back transaction of 825,557 shares at the purchase price of Php2.24 per share, or the total price of PhP1,849,247.68, on even date. The buy-back of shares aims to monetize the share-based remuneration of Ms. De La Paz-Bernardo, which she received from RCI from December 2015 up to February 2015.
