Subject of the Disclosure

SN Aboitiz Power - Magat, Inc.’s appeal with the Philippine Electricity Market Corporation Enforcement and Compliance Office (PEMC-ECO) following its receipt of a Notice of Confirmation of Penalty.

Background/Description of the Disclosure

Aboitiz Power Corporation (the “Company”) was informed today by SN Aboitiz Power-Magat, Inc. (SNAP Magat) that it has an ongoing matter with the Philippine Electricity Market Corporation Enforcement and Compliance Office (PEMC-ECO) following its receipt of a Notice of Confirmation of Penalty in connection with the alleged non-compliance with the Dispatch Conformance Standards (i.e., the standards relating to generation units’ compliance with their respective dispatch schedules, issued by the Department of Energy) for the billing period covering June 2025, amounting to approximately PhP1,372,912.88.

The Company was also informed today that a majority of these non-compliances were caused by SNAP Magat’s adherence to its obligation to provide Ancillary Services under its Ancillary Services Procurement Agreement (ASPA) with the System Operator (NGCP). On November 21, 2025, SNAP Magat filed an Appeal Memorandum to the PEMC Compliance Committee to contest the PEMC-ECO’s current resolution on the alleged non-compliance. We understand that the matter remains pending at this time, and SNAP Magat continues to engage the PEMC Compliance Committee in accordance with the appropriate procedures in this regard.

The Company will make the required disclosures to the public as and when there are material concrete developments involving the above matter.

SNAP Magat is a joint venture company of Aboitiz Renewables, Inc. (ARI) with SN Power Philippines Inc. (through Manila-Oslo Renewable Enterprise, Inc.). ARI represents the Company’s investments and interests in various renewable energy projects.
