Background/Description of the Disclosure
With the demise of Mr. Cesar A. Buenaventura, the Board of Directors has elected Chief Justice Diosdado M. Peralta as Independent Director, effective January 2, 2026. Chief Justice Peralta will also replace Mr. Buenaventura as Chairman of the Board Risk and Oversight Committee and member of the Audit Committee, Related Party Transactions Committee,Environment, Social, and Governance Committee, Corporate Governance Committee, and Nomination Committee, and serve the unexpired term of Mr. Buenaventura.

Other Relevant Information

Chief Justice Peralta was the Chief Justice of the Supreme Court of the Philippines from 2019 until his retirement in 2021. He was Associate Justice of the Supreme Court before that and was previously Presiding Judge of the Sandiganbayan. Chief Justice Peralta currently serves as an Independent Director of International Container Terminal Services Inc. (ICTSI) and Bloomberry Resorts Corporation. Chief Justice Peralta completed his Bachelor of Science degree in San Juan de Letran and his Bachelor of Laws degree at the University of Santo Tomas. He received a Doctor of Laws degree, Honoris Causa, from Northwestern University, Laoag City, Ilocos Norte.
