Background/Description of the Disclosure
The Chairman of the Board received today, December 26, 2025, Ms. Tomasa H. Lipana’s letter dated December 15, 2025 where she conveyed that she is officially resigning as an independent director of Roxas and Company, Inc. effective December 29, 2025. Ms. Lipana has been an independent director of the Company since May 16, 2025. In her letter, Ms. Lipana relayed that this confirms her previous discussions with the Board of Directors of the company of her intention to resign in order for her to focus on her husband’s health and her election as President of the Institute of Corporate Directors (ICD) for 2026.
