Background/Description of the Disclosure
We wish to advise the Exchange and the Commission that, in a letter dated 8 January 2026, the Laguna Water Districtconclusively resolved to uphold and implement the imposition of a penalty on Laguna Water District Aquatech ResourcesCorporation (“LARC”), a majority-owned joint venture subsidiary of Manila Water Company, Inc. (“Manila Water”) throughits subsidiary, Manila Water Philippine Ventures, Inc.. The penalty, in the amount of Php14.4 million, arose prior to Manila Water’s acquisition of majority interest in LARC.
