Description of the Disclosure

Zephryn Holdings, Inc. (ZHI) completed the reorganization by exchange of shares of Century Pacific Group, Inc. (CPGI), the private holdings company of the Po Family. Upon the completion of the exchange, ZHI now holds a 100% stake in CPGI and, indirectly, an effective 63.8% stake in Shakey's Pizza Asia Ventures Inc. (PSE:PIZZA). The internal restructuring was initiated for succession planning and governance at the holdings company. The ultimate beneficial owners of PIZZA remain unchanged, and the Po Family continues to hold control of PIZZA. Please see as attached the SEC Form 23B of various directors/officers/owners.
