Background/Description of the Disclosure
Dominion Holdings Inc. (DHI) received advice from Monte Sur Equity Holdings, Inc. (Monte Sur) that Monte Sur will be filing with the Securities and Exchange Commission, and delivering to the Philippine Stock Exchange, the Initial Tender Offer Report, and will cause the publication of the terms and conditions of the Tender Offer tomorrow, 10 February 2026, in compliance with the Implementing Rules and Regulations of the Securities Regulation Code. The tender offer is required in relation to the proposed acquisition by Monte Sur of 1,513,732,718 DHI shares owned by BDO Unibank, Inc. representing 70% of DHI’s total outstanding shares as previously disclosed.
