This is with reference to ABS-CBN Corporation’s (“ABS” or the “Company”) disclosures released on August 13 and 14, 2026, under C06208-2026, C06281-2026 and C06285-2026. ABS disclosed that it would be issuing 1,643,835,616 shares, which translates to Php6 billion new equity, through a share subscription with I&C Holdings Corp., Crème Investment Corporation, Mantes Corporation, Presta Holdings Company, Inc., and Lopez, Inc. The subscription agreements were signed by the Company on August 12, 2026.

The Company further disclosed that the proceeds from the subscription agreements are to be used for general corporate purposes.
In view of the foregoing, the above-mentioned transaction is covered by the Rule on Additional Listing of Securities under Article V, Part A of the Consolidated Listing and Disclosure Rules of the Exchange (the “Additional Listing Rule”). In compliance with Section 6 of the Additional Listing Rule, the Company submitted its compliant PSE Disclosure Form LR-1 – Comprehensive Corporate Disclosure on Issuance of Shares posted today under C06712-2026.
Pursuant to Section 5 of the Additional Listing Rule, the Exchange has implemented a one (1) hour trading halt on the shares of ABSP today, September 08, 2026, from 11:19 a.m. to 1:18 p.m.
