Background/Description of the Disclosure
On September 15, 2026, Liberty Flour Mills, Inc. (“LFM”), through its Corporate Secretary, Mr. William L. Ang, filed with the Office of the City Prosecutor of Makati City a Complaint-Affidavit against Ms. Stella Marie Jill Uy, former Assistant Treasurer of LFM, for three (3) counts of Perjury under Article 183 of the Revised Penal Code, as amended. The complaint relates to statements made by Ms. Uy in a Verified Complaint dated February 13, 2026 filed with the Company Registration and Monitoring Department of the Securities and Exchange Commission, docketed as SEC CRMD Case No. 26-3476 (INS). As of the date of this disclosure, the complaint has been filed with and remains pending before the Office of the City Prosecutor of Makati City. LFM will make the appropriate disclosures should there be any material developments in the case.
