Subject of the Disclosure

Shortening of Corporate Term of Non-Operating Subsidiaries of Filinvest Land, Inc. (“FLI”) Leading to Dissolution

Background/Description of the Disclosure

To streamline the corporate structure of FLI, the following 100%-owned subsidiaries of FLI, namely: Proleads Philippines Inc. (“PPI”), Realpros Philippines Inc. (“RPI”), and Filinvest Lifemalls Mimosa Inc. (“FLMI”) (collectively, the “Subsidiaries”), have filed applications for the amendment of their respective Articles of Incorporation to shorten their corporate term with the Securities and Exchange Commission (“SEC”) on 16 September 2026.

PPI and RPI were both incorporated to provide marketing services and other administrative support services to FLI’s real estate projects. Following the dissolution of PPI and RPI, any marketing services previously rendered by them may, as necessary, be undertaken by the other marketing entities of FLI, ensuring no disruption to FLI’s ongoing operations.

FLMI has not commenced commercial operations since its incorporation. Notwithstanding the shortening of the corporate term of FLMI, FLI, through its subsidiary Filinvest Clark Mimosa Inc., will continue with the development of the Mimosa Lifestyle Mall (the “Project”) as owner, developer, and manager of the Project, which is targeted to commence operations in 2026.

FLMI previously explored the shortening of its corporate term as part of a broader review of its corporate structure and the business plans for the Project, as previously disclosed. Following further review, and in line with FLI’s continuing efforts to streamline its corporate structure, FLI has determined that it is now the appropriate time to proceed with the shortening of FLMI’s corporate term.

The Subsidiaries have no material assets or liabilities, and any obligations of the Subsidiaries, if any, will be settled in accordance with the Corporation Code of the Philippines and other applicable laws prior to the completion of their dissolution.

The shortening of the corporate term of PPI, RPI, and FLMI, and their eventual dissolution, is not expected to have any material financial, business, or operational impact on FLI or its stockholders.
