("ARC"), OF ITS VOLUNTARY RELINQUISHMENT OF THE CONTRACT AREA, AND CORRESPONDING RIGHTS, UNDER WESC NO. 2023-12-356 FOR THE EXCLUSIVE RIGHT TO DEVELOP THE ASISAN WIND FARM PROJECT; AND UNDER WESC NO. 2024-02-373 FOR THE EXCLUSIVE RIGHT TO DEVELOP THE SAMBONG WIND FARM PROJECT.
Background/Description of the Disclosure
THE COMPANY'S (NEXGEN'S) SUBSIDIARY, ARC, WAS AWARDED WESC NO. 2023-12-356 FOR THE EXCLUSIVE RIGHT TO DEVELOP THE ASISAN WIND FARM PROJECT COVERING PORTIONS OF TAGAYTAY CITY, MENDEZ, AND ALFONSO, CAVITE. FURTHER SITE EVALUATION AND RESULTING TECHNICAL DATA CONFIRMED THAT SIGNIFICANT PORTIONS OF THE AREA ARE CHARACTERIZED BY CREEPING RESIDENTIAL DEVELOPMENT, THEREBY CREATING SAFETY SETBACK CONSTRAINTS, ENVIRONMENTAL CONCERNS, AND SPATIAL LIMITS SUBSTANTIALLY ELEVATING NAVIGATIONAL HAZARDS AT THE AREA. SIMILARLY, ARC WAS AWARDED WESC NO. 2024-02-373 FOR THE EXCLUSIVE RIGHT TO DEVELOP THE SAMBONG WIND FARM PROJECT COVERING PORTIONS OF TAGAYTAY CITY AND ALFONSO, CAVITE; AND LAUREL AND NASUGBU, BATANGAS. FURTHER FIELD INVESTIGATIONS AND SITE ASSESSMENTS BY 3RD PARTY CONTRACTORS DETERMINED THAT THE CONTRACT AREA IS CHARACTERIZED BY GEOTECHNICAL CHALLENGES DUE TO THE HOLLOW BEDROCK NATURE OF THE ACTUAL TERRAIN THAT MAKE THE CONSTRUCTION AND WIND TURBINE GENERATORS (WTG) INSTALLATION CHALLENGING AND FINANCIALLY UNVIABLE. ARC WILL AWAIT THE DOE's ACCEPTANCE OF THIS VOLUNTARY RELINQUISHMENT OF THE CONTRACT AREA AND THE CONCOMITANT TERMINATION OF WESC NO. 2023-12-356 AND WESC NO. 2024-02-373. THERE IS NO POTENTIAL IMPACT WHATSOEVER IN THE COMPANY'S (NEXGEN) FINANCIAL CONDITION AND OPERATIONS AS THESE WESCs ARE IN PRE-DEVELOPMENT STAGE ONLY.
