Background/Description of the Disclosure
Pursuant to Article VII, Section 4.4(p) of the Consolidated Listing and Disclosure Rules of the Exchange, as amended (the “Rules”), please be informed that Global Ferronickel Holdings, Inc. (“FNI” or the “Corporation”) has fully paid and settled on September 22, 2026, the administrative penalty of Three Hundred Eighty-Six Thousand Six Hundred Seventy-Seven Pesos (₱386,677.00) assessed by the Office of the General Accountant of the Securities and Exchange Commission (“SEC-OGA”).
The penalty arose from the SEC-OGA’s review of FNI’s 2024 Consolidated Audited Financial Statements, which the Corporation received on September 21, 2026, and which identified a material misstatement in the Consolidated Statement of Cash Flows relating to the presentation and classification of certain non-recurring transactions in the comparative 2022 and 2023 figures. The differences arose from an inadvertent classification error and had no impact on FNI’s total cash position or net movement of cash as reported.
FNI has incorporated the SEC-OGA’s recommendations into its financial reporting and review processes and supports the SEC’s Annual Review Project as part of its continuing efforts to enhance financial reporting quality. FNI remains committed to regulatory compliance, sound corporate governance, and transparent financial reporting.
