During its regular Board meeting held on 24 September 2026, the Board of Directors (the “Board”) of Basic Energy Corporation (the “Company”) approved the following matters: 1. Authority to enter into a joint venture agreement with Southeast Asia Renewable Energy Corporation for the development of a solar power project in Mariveles, Bataan, Philippines (further details shall be disclosed as and when the respective agreements have been finalized); and 2. Changes in Committee Memberships (for more details on committee membership changes please refer to attached SEC Form 17C and the corresponding amendment to BSC "Results of the Organizational Meeting" disclosure)
