Background/Description of the Disclosure
By way of an update to the March 9, 2026 disclosure made by Far Eastern University, Inc. (“FEU”), please be advised that, with the completion of all the conditions to closing under the Memorandum of Agreement (“MOA”) dated March 9, 2026 among FEU, Bataan Peninsula Educational Institution, Inc. (“BPEII”), which operates under the name University of Nueva Caceres–Bataan , and BPEII's shareholders, the parties have proceeded to closing of the transactions under the MOA, including FEU’s subscription to 39,500 shares of BPEII, representing a 54.78% equity interest in BPEII, FEU’s purchase of a 76.92% aliquot interest in the land on which BPEII operates, and the execution of a shareholders agreement among the said parties. The transactions involve an aggregate investment by FEU of One Hundred Fifty-Six Million Pesos (Php156,000,000.00).
