Filinvest Development Corporation (“FDC”) Clarifies Bilyonaryo News Article

Background/Description of the Disclosure

FDC wishes to correct the article entitled "PSE flags Villar's AllHome, Gotianun's FDC, Bitanga's MRC for disclosure, listing violations" published by Bilyonaryo on 29 September 2026 in relation to the Exchange’s Notice dated 28 September 2026.

FDC clarifies that the PSE action did not arise from any failure to report delays in payments on publicly traded obligations. They do not involve any current disclosure deficiency, payment default, delay in payment of publicly traded obligations, or other ongoing compliance issues.

The said PSE Notice cites Sections 1 and 4.1, in relation to Sections 4.4 (u), (jj), and 16, Article VII of the Consolidated Listing and Disclosure Rules (“Rules”). Section 4.4(jj) of Article VII of the Rules pertains to the disclosure of the public or private sale of additional securities. It does not cite Section 4.4(j), which pertains to delays in the payment of debentures, negotiable obligations, bonds, or any other publicly traded securities.

FDC remains committed to full, fair, timely, and accurate disclosure and continues to strengthen its compliance and corporate governance processes.
