Reason for requesting extension to submit Annual Report
The completion of the Company’s Audited Consolidated and Parent Company Financial Statements (“AFS”) and the Annual Report required under SEC Form 17-A has been materially affected by the recent typhoons and continuous heavy rains in certain areas where some of the Company’s schools are located. The adverse weather conditions resulted in flooding and power interruptions in the affected areas, which prevented or significantly limited the ability of key personnel involved in the preparation and completion of the FS and other required reports to work for several days. Consequently, these circumstances have caused delays in the completion of the audited FS and other reports required to be included in the Company’s SEC Form 17-A. In view of the foregoing, the prescribed filing deadline of October 13, 2026 is not sufficient for the Company to complete the audited FS and all other reports required to be included in the Annual Report under SEC Form 17-A for the fiscal year ended June 30, 2026. Accordingly, the Company respectfully requests an additional period of fifteen (15) days, or until October 28, 2026, within which to file its SEC Form 17-A for the fiscal year ended June 30, 2026.
