SEC-OGA Assessment

Background/Description of the Disclosure

Notice is hereby given that on October 6, 2026, Alliance Select Foods International, Inc. (“FOOD” or the “Company”) submitted to the Securities and Exchange Commission – Office of the General Accountant (“SEC-OGA”) proof of payment of a Sixty Thousand Pesos (Php60,000.00) penalty assessed against the Company.

The penalty was assessed pursuant to an SEC-OGA letter dated September 28, 2026, which was received by the Company on October 2, 2026. The letter was issued pursuant to the SEC-OGA’s evaluation of the consolidated explanation submitted by Reyes Tacandong & Co. (“RT & Co.”), the Company’s external auditor, in connection with the SEC’s findings on the Company’s 2025 Audited Financial Statements. The review was conducted in relation to RT & Co.’s application for SEC Group A accreditation.

The SEC-OGA cited two (2) material deficiencies and three (3) minor deficiencies in connection with the foregoing review, and the Company was assessed the foregoing penalty, which has been fully paid.
