2ND AMENDMENT TO THE MEMORANDUM OF AGREEMENT BETWEEN PHILIPPINE NATIONAL OIL COMPANY (PNOC) AND SIMLONG ENERGY DEVELOPMENT CORPORATION (SEDC)
Background/Description of the Disclosure
Today we received a signed copy of the 2nd Amendment to the Memorandum of Agreement between Simlong Energy Development Corporation (SEDCO), one of the Company’s subsidiaries, and Philippine National Oil Company (PNOC), a government-owned and controlled corporation. Subject of the MOA is the cooperation of the Parties for the conduct of a wind source study. SEDCO’s 142-hectare property in Batangas City will be considered as “area of interest” for the wind resource study, which may include, but not limited to wind resource assessment, geo-spatial studies, mapping, techno-economic analysis and forecasting to be conducted by PNOC.
The said study will have a duration of twenty two months from September 15, 2025 while the MOA shall remain valid and effective until June 30, 2028, extended by four months from the original expiration period of February 29, 2028, unless extended or sooner amended or revoked by mutual agreement of the Parties.
The main objective of the study is to determine viability of the area for the establishment of energy hub and energy infrastructure development. Should the result of the study yield positive result, it will enhance the goal of the Company of diversifying its investment asset portfolio.
