Subject of the Disclosure

Update on NOW Telecom Company, Inc.'s Supervision and Regulation Fees Assessment and Request for Review and Reconciliation

Background/Description of the Disclosure

NOW Corporation (the "Corporation") hereby informs the Exchange that, on October 12, 2026, it was formally furnished by NOW Telecom Company, Inc. ("NOW Telecom"), an associate of the Corporation, with a copy of the National Telecommunications Commission's ("NTC") demand letter dated September 9, 2026, assessing Supervision and Regulation Fees ("SRF") totaling approximately ₱4.043 billion, inclusive of principal amounts and penalties, net of payments reflected in the assessment.

The NTC demand required payment on or before September 30, 2026.

NOW Telecom has disputed the basis of the assessment and, through its letter dated October 9, 2026, addressed to the Department of Information and Communications Technology ("DICT") and the NTC, requested a year-by-year review, recomputation, and reconciliation of the SRF assessments beginning 2005.

The request principally concerns discrepancies between the capital amounts reflected in NOW Telecom's audited financial statements and those applied in the NTC's assessment, particularly the treatment of Additional Paid-in Capital following changes in NOW Telecom's capital structure.

NOW Telecom has likewise requested that collection or enforcement action involving the disputed portions of the assessment be held in abeyance pending review and reconciliation. There is no representation that this request has been granted.

The Corporation clarifies that the assessment is directed against NOW Telecom, a separate juridical entity, and not against NOW Corporation. The assessed amount therefore does not, by itself, represent a direct liability of NOW Corporation.

Nevertheless, considering NOW Corporation's investment in NOW Telecom, management recognizes that material developments affecting NOW Telecom's financial position and future cash flows may have implications for the valuation and recoverability of the Corporation's investment.

NOW Corporation will evaluate relevant developments and their potential financial reporting implications in accordance with applicable accounting standards.

The Corporation will make the appropriate additional disclosures should there be material developments arising from the NTC's review and reconciliation of the assessment or other related regulatory actions.

Other Relevant Information

The NTC demand letter dated September 9, 2026 references the Supreme Court Resolution dated April 21, 2026, involving NOW Telecom and the NTC.
The ₱4.043 billion amount represents the assessment contained in the subsequent NTC demand letter and should not be interpreted as an amount expressly specified in the Supreme Court Resolution.
NOW Telecom's October 9, 2026 letter disputes the assessment's computation and requests regulatory reconciliation without admission of the correctness of the amount demanded.
This disclosure is made for the information of the investing public and should not be construed as an admission by NOW Corporation of direct liability for the amount assessed against NOW Telecom.
