CPI Property Dividend Declaration of CREC Shares
Background/Description of the Disclosure
Please be informed that on December 29, 2025, CREC’s parent company, Citicore Power Inc. (CPI) declared 5,584,894,690 CREC shares as property dividends in favor of CPI’s stockholders of record as of 29 December 2025 in proportion to their respective shareholdings. Payment of the dividend is subject to securing the necessary approvals and consents from the relevant third parties and government agencies, and payable upon approval by the Securities and Exchange Commission of the dividend declaration. Once paid, the CREC Shares currently held by CPI (50.04%) will be held directly by CPI’s shareholders to wit: (i) Citicore Holding Investments Inc. (40.03%) and (ii) Purple Seed Capital Holding Inc. (10.01%). On October 23, 2026, the payment of the dividends was released to CPI’s shareholders: (i) 4,467,915,755 CREC shares to Citicore Holding Investments Inc.; and (ii) 1,116,978,935 CREC shares to Purple Seed Capital Holding Inc.
