Background/Description of the Disclosure
During the regular meeting of the Board of Directors on October 27, 2026, the Board of Directors elected Atty. Francisco Benito A. Saavedra as the new nominee director of Caritas Health Shield, Inc. in Bank of Commerce (the "Bank"), to serve the remaining term of the seat left vacant by Atty. Jose A. Barcelon who resigned effective September 30, 2026. Atty. Saavedra has been pre-screened by the Nomination, Compensation, and Remuneration Committee ("NCRC") in compliance with Section 2 Article XII of the Bank’s By-laws, and in accordance with the qualifications and disqualifications set forth in Section 3 Article XII of the Bank’s By-laws. On October 27, 2026, the Board of Directors further approved the appointment of Atty. Saavedra as a committee member of the Bank's NCRC and Underwriting Committee ("UWCom").
