Ladies and Gentlemen, In today’s Regular Board Meeting, the Board of Directors of Citystate Savings Bank, Inc. (the Bank) accepts, with regrets, the resignation of Atty. Jose Roderick F. Fernando as Lead Independent Director of the Bank, effective 28 October 2026. Further, the Board of Directors of the Bank approves the following: 1. The election of Mr. Carlos H. Yturzaeta as Independent Director of the Bank, effective 28 October 2026; and 2. The appointment of Ms. Sharon T. Enriquez as Human Resources Department Head with the rank of Vice President, effective 28 October 2026.

Mr. Carlos Yturzaeta is a recognized practitioner in Risk Management and Corporate Governance in the insurance industry. He is a certified public accountant with 25 years of experience in the largest energy conglomerate in the Philippines, Petron Corporation. Since 1985, he has conducted over 1,000 lectures on leadership, interpersonal skills, enterprise-wide risk management, governance, and the insurance business. Ms. Enriquez brings extensive experience in human resource management, employee relations, talent acquisition, organizational development, and corporate planning. She previously served as Human Resources Department Head of UCPB Savings Bank, QC Philippines, and has also held HR leadership positions in the Philippines and Australia. She holds a Bachelor of Science in Business Administration and a Master’s degree in Business Administration, with further studies in Strategic Human Resource Management. She is also a Certified Practitioner in Human Resources (CPHR) of the Australian HR Institute.
