Background/Description of the Disclosure

On November 9, 2016, the Board of Directors of Xurpas Inc. (the "Company") approved the following:

1. the Consolidated Unaudited Financial Statements of the Company for the 1st nine months of 2016; and
2. adoption of a buy-back program of the shares of the Company. The details of the buy-back program has been delegated to the management. The program is aimed to improve shareholder value and is deemed appropriate given the substantial undervaluation of the Company's shares.

The program will not involve active and widespread solicitation from stockholders in general. Buy-backs will be executed through the open market via the trading facilities of the PSE.
