Pursuant to the Share Purchase Agreement executed last October 6, 2016 by and among Xurpas Inc. (the "Company"), Emmanuel Michel Jean Allix and Wavemaker Labs Pte. Ltd. for the acquisition of 100% stake in Art of Click Pte. Ltd. ("AOC"), a company registered under the laws of Singapore and engaged in the business of mobile media advertising, the Company issued on November 11, 2016 an aggregate of 69,939,486 common shares from its unissued authorized capital stock in the amount of Php13.45 per share based on a 30-day average market price of the Company's shares (15 days before and 15 days after the Closing Date).
