Subject of the Disclosure

MRC Allied Inc. & Unisolar Inc. signs an EPC Contract for a 4MW Solar (Photovoltaic) PV Rooftop Project.

Background/Description of the Disclosure

We would like to inform the Exchange that MRC Allied Inc. (MRC) and Uni Solar Inc. (USI) signed a Contract for the design, supply, delivery, installation, testing and commissioning, with operation and maintenance, of a target total capacity of at least 4MW Solar Photovoltaic (PV) rooftop system project for Xentro Mall Developer Inc. (XRC).

USI is a domestic corporation engaged in the design, global sourcing, local distribution, manufacturing, sales of solar-powered products and the operation and maintenance of Solar Photovoltaic rooftop systems. XRC is a domestic corporation engaged in the operation of community malls nationwide.

Please find the following salient features of the contract:

1. Terms and Conditions

The purpose of the Contract is to engage the services of USI as EPC contractor and O&M provider, to which the latter has agreed to provide the design, supply, delivery, installation, testing and commissioning of the total target capacity of at least 4MW Solar Photovoltaic rooftop systems in various XRC community malls, including the operation and maintenance of the same.

The Contract shall become effective upon the signing of a final agreement between MRC and XRC for the design, supply, delivery, installation, testing and commissioning, and operation and maintenance of the total target capacity of 4MW Solar Photovoltaic rooftop system in the latter’s malls. In the final agreement, XRC will allow USI to install the Solar Photovoltaic rooftop system within the malls identified and nominated by the former.
In consideration of the Contract, MRC will pay USI at least Php 200 million for the installation of the initial target capacity of at least 4MW.


2. Timeline for Contract Implementation

The construction period is set at a maximum of 6 months from issuance of Notice to Proceed by MRC to USI. The Operation and Maintenance period of the solar PV system is set at 20 years.

3. Other Salient Features

The contract will take effect upon execution of MRC and XRC of a final agreement relating to the total target capacity of 4MW Solar Photovoltaic rooftop system for XRC’s malls.

4. Effect(s) on the business, financial condition and operations of the Issuer, if any;

This Project with USI and XRC will solidify the entry of MRC into the Solar Photovoltaic industry. It will also bring the Company closer to its aspirational goal of developing at least 200MW of clean and renewable energy each year.

The effect on the operations and financial condition of the company will be subject to the final agreement to be executed by MRC and XRC, as well as the terms and conditions set therein.
