Subscription Agreements of IRC Properties Inc with Aggregate Business Group Holdings, Inc. and Auspicious One-Belt-One-Road Fund.
Background/Description of the Disclosure
Please be informed that Aggregate Business Group Holdings, Inc. (“ABG”), a corporation duly organized and existing under the laws of the Philippines, has subscribed to a total of 4,148,105,000 common shares of IRC Properties, Inc. (“IRC”) at a price of PHp 1.10 per share or a total subscription price of Php 4,562,915,500.00. Auspicious One-Belt-One-Road Fund, a corporation duly organized and existing under the laws of Cayman Islands, has also subscribed to a total of 368,175,000 IRC common shares at the same price of PHp 1.10 per share or a total subscription price of Php 404,992,500.00. The shares will be issued out of the increase from P1.5 Billion to P19.5 Billion as previously approved by the Board of Directors and stockholders of the Corporation.
