The Company will cease to exist upon the implementation of the Plan of Merger, as approved by the SEC. The shares held by the stockholders of the Company as of record date of the merger, will be exchanged for CHI common shares in accordance with the ratio of 1.06:1. All the assets and liabilities of the Company will be absorbed by CHI. |
