Reason for requesting extension to submit Annual Report

In compliance with Securities and Exchange Commission (“SEC”) Memorandum Circular No. 5 Series of 2020 (subsequently amended by virtue of a Notices issued by the SEC on March 18, 2020 and April 3, 2020), SBS Philippines Corporation ("Company") hereby files SEC Form 17 LC, notifying the SEC, the Exchange, and the public of the inability to file the Company’s Annual Report and its Audited Financial Statement for the Period ending December 31, 2019 to June 30, 2020, or at a period to be subsequently implemented by the SEC due to the enhanced community quarantine implemented by reason of the COVID 19 Pandemic.

Other Relevant Information
We amended the disclosure in view of the change in direction of the SEC from filing a request letter to filing a notice of inability to file 17-A or SEC Form 17-CL. Please see attached SEC Form 17-LC.

The Company undertakes to submit the report within fifteen (15) calendar days after the prescribed deadline or upon submission of the report to the Securities and Exchange Commission, whichever is earlier.
