Reason for requesting extension to submit Annual Report
Pursuant to SEC Memorandum Circular NO. 5, Series of 2020 and the subsequent Notice dated March 18, 2020 issued by the SEC, AXELUM RESOURCES CORP. (the “Company”) has requested for an extension of time to file and submit its Annual Report (SEC Form 17-A), the Audited Financial Statements, and the Sustainability Report, all for the period ended 31 December 2019 (collectively, the “Reports”). The Company could not finalize and complete the Reports because of the Enhanced Community Quarantine and the Stringent Social Distancing Measures imposed by the government in connection with the COVID-19 pandemic, over the entire Luzon, including the National Capital Region. The government likewise imposed travel restrictions and bans and ordered suspension of business operations which resulted in the inability to perform and complete certain audit procedures, severely limited mobility of persons, including employees of the Company and third persons needed to finalize and complete the Reports, and caused delay in the completion of the Reports due to lacking or missing information or documents. Clearly, these factors are beyond the control of the Company.

The Company understands that failure to comply with the undertaking may result to the imposition of applicable penalty/ies and/or sanction/s.
