Reason for requesting extension to submit Annual Report

GT Capital Holdings, Inc. ("GT Capital" or the "Corporation") would like to seek extension on the filing period for the Annual Report (SEC 17-A) for the year ended 31 December 2019, pursuant to PSE Memorandum CN-No. 2020-0034 dated April 7, 2020, and SEC Notice dated April 3, 2020.

The COVID-19 pandemic has unfortunately posed significant challenges to the operations of our component companies (the "Group"), including the gathering of pertinent information required for the completion of our Annual Report. The Extended Enhanced Community Quarantine has strained the ease of communication between the Corporation and the Group, operating primarily from home, and the priority is to secure the safety and wellness of our people while continuously serving our general public.

GT Capital will continue to observe its obligations under Republic Act No. 8799, or The Securities Regulation Code, and Philippine Stock Exchange’s Consolidated Listing and Disclosure Rules, and under Memorandum Circular No.4 series of 2-19, otherwise known as the Sustainability Reporting Guidelines for Publicly-Listed Companies.
