Background/Description of the Disclosure
On May 14, 2020, during a Special Meeting of the Board of Directors (the "Board") of GT Capital Holdings, Inc. ("GT Capital" or the "Corporation"), the Board approved the amendment of Article SECOND of GT Capital's Amended Articles of Incorporation to allow it to provide guarantees in favor of its component companies. On June 5, 2020, during the Annual Stockholders' Meeting, stockholders representing at least two thirds of the Corporation's outstanding capital stock approved the proposed amendment. The same will thereafter be submitted to the Securities and Exchange Commission for approval.
