I. APPROVAL OF THE COMPANY’S SECOND QUARTER FINANCIAL REPORT FOR QUARTER ENDING JUNE 30, 2020 The Chairman informed the Board that there is a need to approve the Second Quarter Financial Report of the Company for the Quarter ended June 30, 2020. Upon motion made and duly seconded, the following resolution was unanimously approved and adopted by the Board: “RESOLVED, That the Board of Directors of Century Properties Group Inc. ( the “Corporation”) be authorized, as it is hereby authorized to approve the Second Quarter Financial Report of the Company for the quarter ended June 30, 2020 and the release of the same.” II. PRESENTATION OF KEY BUSINESS UPDATES The Executive Committee presented the Company’s Key Business Updates which the Board duly noted. The Company fully undertakes that it shall furnish the Honorable Exchange all material documentation and filings for the aforementioned resolutions.
