Compensation policy for directors
Background/Description of the Disclosure
The Board of Directors of Axelum Resources Corp. approved today the following compensation policy for directors of the Company:
1) A fixed monthly allowance in the initial amount of Php120,000 plus an additional month in December for a total of 13 months, which monthly allowance may be increased at the discretion of the Chairman of the Board depending on the performance of the Company in the succeeding years; and
2) The amount of Php50,000 as per diem for attendance at board meetings, with a maximum total amount of Php300,000 to be given as per diem for each director.
The Board likewise approved an additional compensation of up to 2% of the net income before tax of the Company which shall be apportioned and distributed to the directors in such manner as determined at the discretion of the Chairman of the Board.
