Nature and description of the legal proceedings

Further to its disclosures to the Philippine Stock Exchange dated 6 January 2020 and 29 May 2020, Bloomberry Resorts Corporation (BRC) hereby discloses that its subsidiaries Sureste Properties Inc. (SPI) and Bloomberry Resorts & Hotels Inc. (BRHI) received a decision of the Singapore Court of Appeals dated 16 February 2021 in CA 14 of 2020 which denied the appeal of SPI and BRHI against the decision of the Singapore High Court dated 3 January 2020. In that 3 January 2020 decision the court dismissed SPI’s and BRHI’s petition to vacate and oppose the enforcement of the Partial Award of the Arbitration Tribunal dated 20 September 2016.

In that 20 September 2016 Partial Award the Arbitration Tribunal found that SPI’s and BRHI’s termination of the Management Services Agreement with GGAM was wrongful and the Tribunal affirmed GGAM’s ownership and right to sell the 921,184,056 shares in BRC.

The Arbitration Tribunal has since then issued its Final Award dated 27 September 2019 in favor of GGAM and ordered monetary awards in favor of GGAM and a constructive remedy pertaining to the 921,184,056 BRC shares declared as owned by GGAM. SPI’s and BRHI’s case to set aside and oppose the enforcement of the Final Award was denied by the Singapore High Court and is now subject of a separate appeal filed by SPI and BRHI pending with the Singapore Court of Appeals.

Counsel for SPI and BRHI has advised that the arbitration award is not self-executing and must be enforced through the court of the jurisdiction where it is to be enforced. Philippine Counsel for SPI and BRHI has advised that, as a matter of Philippine law, the Partial Award may be enforced in the Philippines only through an order of a Philippine court of proper jurisdiction, after appropriate proceeding taking into account applicable Philippine law and public policy.
