Background/Description of the Disclosure
On November 25, 2020 Liberty Flour Mills, Inc. (hereafter, "LFM") had declared a property dividend consisting of shares of stock of its subsidiary, LFM Properties Corporation (hereafter "LPC") with an entitlement ratio of sixty-nine (69) LPC common shares for every one LFM common shares. An application for the approval of the property dividend was filed with the SEC on February 17, 2021, and is currently under review. Further to LFM's declaration of the Property Dividend, LPC filed its Registration Statement with the SEC on June 8, 2021
