Description of the Disclosure

Reporting Person has acquired 152,439,025 common shares of Shakey's Pizza Asia Ventures Inc. ("SPAVI"), which shall result in an approximately 9% ownership stake in SPAVI. JE Holdings, Inc. is intended to be a new strategic investor, onboarded for the purposes of infusing fresh capital for the Issuer, and for the various synergies that come along with SPAVI's partnership with the Gokongwei group of companies.
