Background/Description of the Disclosure
Pursuant to the Resolution of the Board of Directors of Megawide Construction Corporation (“Megawide”) approving the terms of the offer of up to 50,000,000 Series 2 Preferred Shares, including the dividend payment date of August 27 of each year, the Board of Directors sets August 5, 2021 as the record date. The cash dividend is equal to Php1.1875 per share or a total of PhP 31,136,404.00 out of the unrestricted retained earnings of Megawide as of December 31, 2020. This is also in connection with the disclosure that cash dividends will be payable on February 27, May 27, August 27, and November 27 of each year stated on page 23 of the Prospectus.
