ACEN Executive Committee approval of sale of power barge assets and amendment of agreements with diesel subsidiaries
Background/Description of the Disclosure
Please be informed that the Company’s Executive Committee approved today the following:
1. Sale of Power Barge 101 to Prime Strategic Holdings Inc. or its designated affiliate or subsidiary, and Power Barges 102 and 103 to SPC Power Corporation or its designated affiliate or subsidiary; and 2. Amendment of the Company’s Power Administration and Management Agreements (“PAMAs”) with its wholly-owned subsidiaries CIP II Power Corporation (CIP II), Bulacan Power Generation Corporation (BPGC), and One Subic Power Generation Corporation (OSPGC), all diesel power plant operators, to, among others: (a) update the fixed capacity fees billable to the Company; and (b) include a variable capacity fee billable by CIP II and BPGC.
Other Relevant Information
Power Barge 101 is an operating power plant while Power Barges 102 and 103 are non-operating. The sale of the power barges is expected to be completed in the fourth quarter of 2021, subject to satisfaction of agreed conditions precedent, including obtaining the applicable regulatory approvals.
CIP II and BPGC respectively own and operate a 21 MW diesel plant in Bacnotan, La Union and a 52 MW diesel plant in Norzagaray, Bulacan, while OSPGC leases the 116 MW diesel plant in Subic Bay Freeport. The amendments to the PAMAs are effective as of 1 July 2021.
