As approved by the Securities and Exchange Commission and pursuant to the Exchange’s Consolidated Listing and Disclosure Rules, as amended, the maximum subscription amount for local small investors who will participate in The Keepers Holdings, Inc.’s (“KEEPR”) follow-on public offering is set at Php1,000,000.00 per investor. Please refer to KEEPR’s Implementing Guidelines for Local Small Investors which will be posted prior to the start of the Company’s offer period. Further, the conditions of the Commission regarding the approval of the increase in LSI subscription are as follows: 1. The issuer, underwriters, PSE Trading Participants and the PSE, in accordance with their roles and responsibilities in relation to the LSI program, shall give priority to accepting the smaller subscription orders ahead of the larger orders. 2. The issuer, underwriters, PSE Trading participants and the PSE, in accordance with their roles and responsibilities in relation to the LSI program, shall make, keep and preserve records related to the LSI orders, and provide copies and make such reports as directed, and the same shall be subject to audit by the Commission and other authorized person. 3. The issuer, underwriters, PSE Trading participants and the PSE, in accordance with their roles and responsibilities in relation to the LSI program, shall update all communications, in whatever form, including the final prospectus which shall reflect the new terms for LSI subscription. The Exchange will advise the investing public of further developments on the Company’s FOO. For your information and guidance.
